These terms govern your use of www.seabid.app (the “Site”), which is operated by SeaBid ehf (Iceland) and SeaBid America LLC (Wayne, PA, USA) (together, “SeaBid”, “we”, “us”). By using the Site you agree to these terms.
Which entity you are contracting with
If you are located in the United States, your contract under these terms is with SeaBid America LLC, a Pennsylvania limited liability company with its principal place of business in Wayne, Pennsylvania. If you are located anywhere else, your contract under these terms is with SeaBid ehf, an Icelandic company. Where it makes sense (for example, to honor a request to delete your information), the two entities act jointly.
The Site and the operational app are separate
The Site is a marketing site that describes SeaBid and routes you to the operational auction platform at market.seabid.app. Bidding, selling, buyer and producer accounts, and any commercial transactions take place on the operational app and are governed by its own terms, which you will see when you create an account there. These terms do not govern auctions or trades.
Permitted use
You may use the Site to learn about SeaBid and to contact us. You agree not to:
- Use the Site in any way that violates applicable law
- Attempt to gain unauthorized access to any part of the Site or its infrastructure
- Scrape, harvest, or otherwise collect information from the Site by automated means without our prior written consent
- Submit false information through the contact form or impersonate another person
Content and intellectual property
The Site, including its text, graphics, logos, and code, is the property of SeaBid or its licensors and is protected by intellectual property laws. The marks SeaBid and Sell While Sailing™ are trademarks of SeaBid. You may not use them without our prior written permission.
Third-party links
The Site links to third-party websites, including the operational app and the websites of partners and funders. We are not responsible for the content, privacy practices, or terms of those sites.
Disclaimer
The Site is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Information on the Site is provided for general informational purposes and does not constitute legal, regulatory, or commercial advice. Some jurisdictions do not allow the exclusion of implied warranties, so the exclusions above may not apply to you.
Limitation of liability
To the maximum extent permitted by law, SeaBid will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with your use of the Site. Our aggregate liability for any claim arising out of these terms or your use of the Site will not exceed one hundred US dollars (USD 100). Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so this limitation may not apply to you to the extent such law applies.
Changes to the Site and these terms
We may modify or discontinue the Site, or any part of it, at any time. We may also update these terms; material changes will be reflected in the “Last updated” date at the top of this page. Continued use of the Site after a change constitutes acceptance of the updated terms.
Governing law and venue
If you are located in the United States, these terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules, and you and SeaBid America LLC agree that the state and federal courts located in Pennsylvania will have exclusive jurisdiction over any dispute arising out of or in connection with these terms or your use of the Site.
If you are located anywhere else, these terms are governed by the laws of Iceland, without regard to its conflict of laws rules, and any dispute will be brought exclusively before the courts of Iceland.
Nothing in this section limits any non-waivable rights you have under the consumer protection laws of your country or state of residence, including the right (where applicable) to bring a dispute in the courts where you live. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
